Terms & Conditions

1. Definitions

• "JV Studio" refers to the web design business operated by Jeandre Van Der Walt.
• "Client" refers to any individual or business that engages JV Studio for services.
• "Services" refers to website design, development, maintenance, hosting coordination, and any related deliverables.
• "Agreement" refers to any service agreement, quote acceptance, or written confirmation between JV Studio and the Client.

2. Services

JV Studio provides professional website design and development services for businesses across South Africa. The specific scope of work, deliverables, and timelines are defined in the service agreement or proposal provided to the Client.

JV Studio reserves the right to refuse or discontinue services at its discretion, including in cases of non-payment, abusive conduct, or requests that conflict with our values or applicable law.

3. Fees and Payment

• All fees are quoted in South African Rand (ZAR).
• A once-off website build fee is payable as outlined in the service agreement.
• Monthly retainer fees are invoiced monthly by JV Studio and are due within 7 days of the invoice date.
• Payment is to be made via EFT to JV Studio's nominated bank account as detailed on the invoice.
• Late payments may result in suspension of services until the outstanding balance is cleared.
• All quoted prices are exclusive of any applicable taxes unless stated otherwise.

4. Client Responsibilities

The Client agrees to:

• Provide accurate information, content, and materials required for the completion of the project in a timely manner.
• Review and provide feedback on deliverables within an agreed timeframe.
• Ensure that any content, images, or materials supplied do not infringe on third-party intellectual property rights.
• Keep their Client Portal login credentials confidential and notify JV Studio immediately of any unauthorised access.
• Ensure payment is made by the due date as specified on invoices.

5. Intellectual Property

Upon receipt of full payment for the once-off website build fee, JV Studio assigns ownership of the website design and custom code to the Client.

JV Studio retains the right to display completed work as part of its portfolio unless the Client requests otherwise in writing.

Third-party assets (such as licensed fonts, stock images, or plugins) remain subject to their respective licences. The Client is responsible for maintaining any required licences after project handover.

All materials and deliverables remain the property of JV Studio until full payment has been received.

6. Revisions and Scope Changes

The service agreement outlines the number of revisions included. Additional revisions or scope changes beyond what is agreed may be quoted separately and will require written approval before work commences.

7. Timelines and Delays

JV Studio will make reasonable efforts to deliver work within agreed timelines. However, timelines are estimates and may be affected by delays in receiving content or feedback from the Client.

JV Studio is not liable for delays caused by third parties, force majeure events, or factors outside of its reasonable control.

8. Limitation of Liability

JV Studio's liability is limited to the total fees paid by the Client for the specific service giving rise to the claim. JV Studio is not liable for:

• Loss of revenue, profit, or business opportunity
• Data loss or corruption
• Downtime caused by third-party hosting or infrastructure providers
• Indirect, incidental, or consequential damages of any kind

JV Studio makes no guarantee of specific SEO rankings, website traffic, or business results arising from our services.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives termination of the service relationship.

10. Termination

Either party may terminate the service agreement by providing 30 days' written notice. Upon termination:

• All outstanding invoices become immediately due and payable.
• JV Studio will provide the Client with reasonable assistance in transitioning the website to another provider.
• Access to the JV Studio Client Portal will be deactivated.

JV Studio may terminate services immediately and without notice in cases of non-payment, fraud, or material breach of these terms.

11. Warranties

JV Studio warrants that services will be performed with reasonable skill and care, in a professional manner, consistent with industry standards.

Except as expressly stated, all other warranties, express or implied, are excluded to the fullest extent permitted by law.

12. Governing Law

These Terms and Conditions are governed by the laws of the Republic of South Africa. Any disputes arising from these terms will be subject to the jurisdiction of the South African courts.

13. Amendments

JV Studio reserves the right to update these Terms and Conditions at any time. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
